About the role
We are seeking an experienced Corporate Attorney specialized in mergers and acquisitions to join a leading global technology and internet company on a contract basis. The position is fully remote, allowing you to work from anywhere while providing strategic legal guidance on corporate transactions.
Key responsibilities
- Draft, review, and negotiate merger and acquisition agreements, asset purchase agreements, and related transaction documents.
- Conduct comprehensive legal due diligence on target companies, identifying risks and liabilities.
- Advise on corporate governance matters, including board and shareholder meetings and regulatory compliance.
- Structure and document corporate reorganizations, joint ventures, and strategic alliances.
- Coordinate with internal stakeholders, external counsel, and regulatory bodies to ensure smooth transaction execution.
Required profile
- Juris Doctor (JD) degree from an accredited law school.
- Active bar membership in good standing.
- Minimum of 5 years of experience in corporate law with a focus on M&A.
- Proven ability to manage multiple projects independently.
Required skills
- Proficiency with legal research tools such as Westlaw.
- Proficiency with legal research tools such as LexisNexis.
