Vice President of Investment (Direct Investments)

About the role

Serves as the senior execution lead within Valmore Holding’s Direct Investments team, overseeing end‑to‑end M&A transactions from initial evaluation through closing. The role combines hands‑on deal execution, transaction structuring, and mentorship of junior staff in a fast‑growing, resource‑lean environment.

Key responsibilities

• Lead end‑to‑end M&A transaction execution, from initial evaluation through due diligence, structuring, SPA negotiation and closing.
• Design and negotiate deal structures, including equity, debt, earn‑outs and shareholder arrangements, and prepare term sheets, SPAs and SHAs.
• Own the due‑diligence workstream: scope planning, vendor coordination, data‑room management, findings synthesis and escalation of red flags.
• Oversee financial modelling (DCF, LBO, IRR, scenario analysis) and ensure assumptions are defensible and aligned with due‑diligence outputs.
• Prepare and present Investment Committee materials, translating complex transaction dynamics into clear recommendations.
• Manage relationships with banks, legal advisors, technical consultants and target management teams, including fee negotiations.
• Mentor senior associates and analysts, supervising deal workstreams and reviewing junior deliverables.
• Coordinate post‑closing hand‑over to the Investment Monitoring team, ensuring all closing obligations are fulfilled.

Required profile

• 8–15 years of experience in investment banking (M&A), private equity, corporate development or a similar transaction‑focused environment.
• Proven track record of leading or materially contributing to the execution and closing of multiple M&A transactions, preferably in the $50 M–$500 M range.
• Strong financial modelling expertise (DCF, LBO, IRR, scenario/sensitivity analysis) and ability to critique junior models.
• Bachelor’s degree in finance, economics, business, engineering or related field; MBA, CFA or equivalent preferred.
• Experience working in MENA, Africa or other emerging markets and familiarity with regional regulatory and commercial environments.
• Ability to thrive in a resource‑lean, early‑stage environment with high accountability.
