Contracts Specialist – Commercial & IT Agreements

About the role

Raya Holding for Financial Investments is seeking a Contracts Specialist to draft, review, negotiate and finalize a wide range of commercial and IT agreements. The role involves supporting complex transactions, mitigating contractual risks and providing legal advice to internal stakeholders.

Key responsibilities

• Draft, review, negotiate and finalize various commercial agreements.
• Lead negotiations of complex contractual arrangements with customers, vendors and strategic partners.
• Prepare, review and negotiate IT‑related agreements such as SaaS, cloud services, AI services, software licensing and cybersecurity contracts.
• Draft and negotiate partnership, joint‑venture, strategic‑alliance and collaboration agreements.
• Support M&A transactions, including NDAs, term sheets, share and asset purchase agreements, due‑diligence and closing documentation.
• Identify contractual risks and recommend practical mitigation strategies.
• Ensure contracts comply with applicable laws, internal policies and regulatory requirements.
• Provide legal advice during commercial negotiations and participate in cross‑functional projects.
• Maintain contract templates and continuously improve contractual standards.

Required profile

• Bachelor’s degree in law.
• Minimum 5 years of experience in commercial contracts.
• Proficiency in both Arabic and English.

Required skills

• Demonstrated experience in IT contracts.
• Experience drafting and negotiating partnership agreements.
• Practical exposure to mergers & acquisitions transactions.
• Excellent English drafting and negotiation skills.
• Strong legal research and analytical capabilities.
