Corporate Attorney - M&A (Remote)

About the role

We are seeking a Corporate Attorney specialized in M&A to support a global technology leader on a contract basis. The role is fully remote and focuses on providing legal guidance for mergers, acquisitions, joint ventures and other strategic corporate transactions.

Key responsibilities

• Draft, review and negotiate merger and acquisition agreements, asset purchase agreements and related transaction documents.
• Conduct comprehensive legal due diligence on target companies, identifying risks and liabilities.
• Advise on corporate governance matters, including board and shareholder meetings and compliance with state and federal regulations.
• Structure and document corporate reorganizations, joint ventures and strategic alliances.
• Coordinate with internal stakeholders, external counsel and regulatory bodies to ensure smooth transaction execution.

Required profile

• Juris Doctor (JD) degree from an accredited law school.
• Active bar membership in good standing.
• Minimum five years of experience in corporate law with a focus on M&A.
• Proven ability to manage multiple projects independently.

Required skills

• Advanced drafting and negotiation of transactional documents.
• Proficiency with legal research tools such as Westlaw and LexisNexis.
