Senior Legal Counsel – Capital Markets & Investment Banking

About the role

The Senior Legal Counsel will act as a trusted adviser to Arqaam Global Markets’ capital markets, investment banking and asset management businesses. Reporting to the Head of Legal, the role supports complex cross‑border transactions, strategic initiatives and day‑to‑day legal matters across multiple jurisdictions from Dubai or Cairo.

Key responsibilities

• Draft and negotiate ISDA Master Agreements, GMRA/GMSLA, brokerage, prime brokerage and OTC derivatives documentation.
• Provide legal advice on equity, fixed‑income and structured product transactions, including ECM, DCM, IPOs, private placements and M&A.
• Support investment‑fund and discretionary portfolio management matters, reviewing fund documentation and investment management agreements.
• Negotiate commercial, technology, vendor and service contracts, as well as consultancy and NDAs.
• Advise on regulatory requirements of DFSA, ADGM, UAE SCA, Saudi CMA, Egyptian FRA and other regional regulators.
• Manage external counsel, monitor legal developments and assist with corporate governance and secretarial duties.

Required profile

• Qualified lawyer with several years of experience in capital markets, investment banking or financial services.
• Commercially minded with the ability to work closely with senior business stakeholders and front‑office teams.
• Strong drafting and negotiation skills across a range of financial agreements.
• Experience handling multi‑jurisdictional transactions and regulatory matters in the Middle East or Africa.
