Senior Legal Counsel - Investments & Infrastructure

About the role

EDECS is looking for a Senior Legal Counsel to lead legal work on investments, acquisitions, joint ventures, infrastructure projects, PPPs and financing transactions across its regional portfolio. Reporting to the Group Investments Director, the role works closely with the Chairman and senior finance, technical, operational and corporate legal teams.

Key responsibilities

• Lead legal workstreams for acquisitions, investments, joint ventures, disposals and strategic partnerships, including drafting and negotiating term sheets, SPA, SHA, subscription and JV agreements.
• Manage legal due diligence, data rooms, red‑flag reports, closing checklists and conditions precedent.
• Draft, review and negotiate concession, development, PPP, BOT, BOO and DBFOM agreements, as well as operator, O&M and technical services contracts.
• Assess risk allocations such as termination, step‑in rights, guarantees, performance securities, change‑in‑law and dispute resolution mechanisms.
• Support projects from bidding through financial close, construction and operational phases, maintaining legal risk registers.
• Coordinate transaction execution with internal teams, counterparties, advisers and external counsel.

Required profile

• Minimum five years (60 months) of experience in corporate transactions, M&A and infrastructure law.
• Strong commercial mindset with ability to translate business arrangements into clear legal documentation.
• Experience with Egyptian corporate law and offshore or cross‑border structures.
• Proven ability to manage complex transactions and work collaboratively with senior stakeholders.
