Sr. Corporate Governance Manager

About the role

The Senior Corporate Governance Manager leads the design, implementation and continuous improvement of the organisation’s corporate governance framework. Reporting to senior leadership, the role provides expert advice to the Board of Directors, its committees and executive management to ensure compliance, accountability and transparent decision‑making.

Key responsibilities

• Develop and continuously enhance the corporate governance framework in line with strategic objectives and regulatory standards.
• Maintain and update governance policies, charters, procedures and delegated authority matrices.
• Manage board and committee governance processes, including charter maintenance, effectiveness reviews and monitoring of resolutions.
• Ensure compliance with corporate governance regulations, conduct assessments and coordinate reporting for senior management and the board.
• Develop, maintain and review governance manuals, policies, frameworks and the Delegation of Authority (DoA) system.
• Act as the primary governance adviser to senior management and build effective relationships with board members, internal audit, risk, compliance, legal and external regulators.

Required profile

• Extensive experience in corporate governance, compliance and board advisory functions.
• Deep knowledge of applicable laws, regulations and governance codes.
• Proven ability to design, implement and improve governance frameworks and policies.
• Strong stakeholder management skills with the ability to influence senior leaders and board members.
• Excellent analytical and reporting capabilities to monitor governance effectiveness.
