Corporate Lawyer

About the role

We are seeking an experienced Corporate Lawyer to lead our corporate and commercial legal affairs. The successful candidate will provide strategic legal advice, ensure regulatory compliance, and support the company’s growth initiatives across Egypt and internationally.

Key responsibilities

• Provide legal advice on corporate, commercial, and regulatory matters.
• Draft, review, negotiate, and manage a wide range of contracts and legal documents.
• Ensure compliance with corporate laws, regulations, and governmental requirements.
• Handle shareholder matters, board resolutions, and corporate governance.
• Lead company formation, registration, licensing, restructuring, mergers, acquisitions, and liquidation processes.
• Coordinate with government authorities, regulatory bodies, and external legal advisors.
• Develop and implement compliance policies, conduct legal audits, and monitor regulatory developments.
• Manage litigation, arbitration, and dispute resolution, representing the company before authorities.
• Identify legal risks, propose mitigation strategies, and provide preventive guidance to business units.

Required profile

• Bachelor’s Degree in Law (LL.B.); Master’s Degree (LL.M.) preferred.
• Licensed attorney and member of the relevant Bar Association.
• Minimum 15 years of experience in corporate law, including company formation and corporate structuring.
• Strong knowledge of Egyptian corporate, commercial, labor, and investment laws.
• Proven experience handling mergers, acquisitions, and corporate transactions.
• Excellent contract drafting and negotiation abilities.
• Fluent in Arabic and English, both written and spoken.
