Corporate Lawyer Manager

About the role

The company, a leading player in the cosmetics industry, is looking for a Corporate Lawyer Manager to provide strategic legal guidance across corporate, commercial, regulatory and compliance matters. The role supports business growth while safeguarding the organization’s legal and reputational interests.

Key responsibilities

• Deliver strategic legal advice on corporate, commercial, regulatory and compliance issues.
• Manage OGM and Board of Directors processes, including preparation, ratification and documentation.
• Oversee stock issuance, updates, clearance‑house procedures and contract administration.
• Ensure compliance with Egyptian Companies Law (Law No. 159/1981, 1998 and Law No. 72/2017) and related governmental regulations.
• Coordinate with the General Authority for Investment and Free Zones (GAFI) and the Financial Regulatory Authority on all obligations.
• Prepare and ratify Articles of Association, manage trademark registrations and license renewals.
• Handle government reporting, statutory filings, commercial article registrations and capital increase/decrease processes.
• Manage proxy issuance and related requisitions.

Required profile

• Extensive experience in corporate law within the cosmetics or related consumer goods sector.
• Deep knowledge of Egyptian corporate legislation and regulatory bodies.
• Proven track record in managing board processes, stock issuances and compliance projects.
• Strong ability to liaise with governmental authorities and oversee statutory reporting.
