General Counsel

About the role

EDECS is looking for a highly motivated Senior Legal Counsel to serve as the primary in‑house legal execution arm for the Group. The role covers end‑to‑end legal support on corporate, project, and investment matters across the organisation’s extensive infrastructure portfolio.

Key responsibilities

• Draft, review and refine corporate documents such as Articles of Association, shareholders’ agreements, board resolutions, and share transfer paperwork.
• Maintain statutory corporate records, group structure charts and legal registers; liaise with corporate service providers, regulators and notaries in Egypt and offshore jurisdictions.
• Develop and update governance frameworks, including Investment/Executive Committee terms of reference, delegation of authority matrices and internal policies.
• Support the drafting and review of concession agreements, PPP/DBFOMT/BOT structures, joint‑venture agreements and related project documentation.
• Analyse risk allocations, prepare negotiation mark‑ups, issue lists and maintain a live risk/issues log across legal workstreams.
• Ensure compliance with legal requirements throughout the project lifecycle—from bidding to financial close, construction and operation.

Required profile

• Senior legal professional with extensive experience in corporate governance, infrastructure projects and public‑private partnership transactions.
• Proven ability to structure, document and negotiate complex agreements with sponsors, operators, authorities and lenders.
• Strong knowledge of statutory filing requirements in Egypt and offshore jurisdictions.
• Excellent analytical skills to track, compare and manage legal risks across multiple workstreams.
