About the role

The Manager, Corporate Governance will lead the implementation and continuous improvement of the organisation's governance framework, ensuring alignment with regulatory requirements, industry best practices, and internal policies. This senior role supports the Corporate Secretariat, Board and Committee operations, and drives governance awareness across the institution.

Key responsibilities

  • Develop, review and update governance policies, manuals and procedures in line with regulatory changes and best practices.
  • Conduct governance gap assessments, recommend improvements and monitor implementation of action plans.
  • Support Board and Committee operations, including preparation of materials, meeting documentation, and annual self‑assessment exercises.
  • Coordinate onboarding of new Board members and ensure compliance with governance requirements.
  • Prepare governance evaluation reports for senior leadership and the Board.
  • Collaborate with GRC functions to monitor regulatory developments and provide governance recommendations.
  • Assist internal and external audit engagements related to governance, supplying documentation and corrective action plans.
  • Consolidate and present governance reports for the Board, Governance Committee and General Assembly.

Required profile

  • Bachelor’s degree in Business Administration, Law, Corporate Governance or a related field.
  • Professional certification in Corporate Governance (mandatory); GRI Sustainability Reporting certification (preferred).
  • Minimum 10 years of experience in governance, compliance or corporate secretariat functions within the banking sector.
  • Strong exposure to Board and Committee governance practices and regulatory interactions.
  • Excellent bilingual communication skills in Arabic and English.
  • High analytical, reporting and presentation preparation abilities.
  • Strong attention to detail, organisational and time‑management skills.
  • Demonstrated integrity, professionalism and ethical conduct.
  • Effective stakeholder management and coordination with internal and external parties.
