Corporate Governance Specialist

About the role

The Corporate Governance Specialist will support the implementation and monitoring of governance frameworks across the organization, ensuring compliance with regulatory requirements in Egypt and the UAE. This position plays a critical role in preparing AGM and Board of Directors meetings and maintaining robust governance practices.

Key responsibilities

• Support the implementation and monitoring of corporate governance frameworks in line with Egyptian and UAE regulations.
• Prepare and organise Annual General Meetings (AGMs) and Board of Directors meetings, including agendas, documentation, and minutes.
• Ensure compliance with the Financial Regulatory Authority (FRA), General Authority for Investment and Free Zones (GAFI), and relevant UAE regulatory bodies.
• Handle legal processes related to listing and delisting requirements, ensuring full regulatory compliance.
• Review and enforce adherence to Capital Market Law and corporate governance regulations.
• Maintain corporate records, governance documents, and statutory filings.
• Coordinate with internal stakeholders to implement proper governance practices.
• Draft board resolutions and other governance‑related legal documents.

Required profile

• Bachelor’s degree in Law (English or French law preferred).
• 1–3 years of experience in corporate governance or legal roles, preferably within financial services or listed companies.
• Strong knowledge of corporate governance frameworks, AGM and Board processes.
• Familiarity with FRA, GAFI and relevant UAE regulatory frameworks.
• Excellent written and spoken English.
• Ability to handle confidential information and work under pressure.
