Senior Legal Counsel Manager

About the role

EDECS is looking for a Senior Legal Counsel Manager to lead end‑to‑end legal support for corporate, project and investment matters across the Group. The role will act as the primary in‑house legal execution arm, handling structuring, documentation, negotiations and coordination with external counsel.

Key responsibilities

• Draft, review and refine corporate documents such as articles of association, shareholders’ agreements, board resolutions, powers of attorney and share transfer paperwork.
• Maintain statutory corporate records, group structure charts and legal registers; liaise with corporate service providers, regulators and notaries in Egypt and offshore jurisdictions.
• Develop and update governance frameworks, including investment committee terms of reference, delegation of authority matrices and internal policies.
• Support drafting and review of concession agreements, PPP/DBFOMT/BOT structures, joint‑venture and project agreements for infrastructure verticals.
• Translate commercial term sheets into legally robust documentation, track risk allocations and prepare negotiation mark‑ups for sponsors, operators, authorities and lenders.
• Maintain a live risk and issues log across legal workstreams and ensure compliance with project legal requirements throughout the bidding, financial close, construction and operational phases.

Required profile

• Extensive experience in corporate law, infrastructure projects and public‑private partnership transactions.
• Proven ability to manage complex legal documentation and coordinate with internal and external stakeholders.
• Strong analytical skills with a focus on risk allocation, regulatory compliance and governance.
• Highly motivated, detail‑oriented and capable of working independently in a fast‑paced environment.
