Manager, Corporate Governance

About the role

The Manager, Corporate Governance will lead the development, implementation and continuous improvement of the bank's governance framework. You will work closely with the Corporate Secretariat, Board committees and the GRC function to ensure compliance with regulatory requirements and best‑practice standards.

Key responsibilities

• Support and enhance the corporate governance framework, policies and procedures; conduct gap assessments and recommend improvements.
• Assist the Corporate Secretariat in optimizing Board and Committee operations, including self‑assessment exercises, onboarding of new members and preparation of high‑quality Board materials.
• Review internal and functional committees for alignment with governance standards; prepare annual governance evaluation reports for senior leadership.
• Coordinate with GRC to monitor regulatory developments and provide governance recommendations.
• Support internal and external governance audits, prepare documentation, and track corrective action plans.
• Consolidate and present governance reports for the Board, Governance Committee and General Assembly, and monitor implementation of action plans.

Required profile

• Bachelor’s degree in Business Administration, Law, Corporate Governance or related field.
• Professional certification in Corporate Governance (mandatory) and GRI Sustainability Reporting Certification (preferred).
• Minimum 10 years of experience in governance, compliance or corporate secretariat roles within the banking sector.
• Excellent bilingual communication skills in Arabic and English.
• High integrity, strong analytical abilities and proven stakeholder management.
