Head of Legal & Corporate Affairs

About the role

CEQUENS, a global CPaaS provider offering APIs such as SMS, WhatsApp for Business, Voice and Push Notifications, is looking for a Head of Legal and Corporate Affairs in Cairo. The role shapes the company's legal strategy, ensures global regulatory compliance and manages corporate affairs, including guidance through IPO processes and contract negotiations with senior stakeholders.

Key responsibilities

• Develop and implement the legal strategy aligned with business objectives and global regulatory requirements, advising senior management on IPO and corporate governance matters.
• Oversee corporate governance and stay up to date with regulatory developments, maintaining compliance programmes to mitigate legal risks.
• Negotiate contracts with senior stakeholders and work with internal teams on contract strategies.
• Facilitate the IPO process by coordinating with external advisors and regulators, and manage legal documentation and filings.
• Oversee the company's global intellectual property portfolio and protect IP rights.
• Maintain corporate records such as board minutes, shareholder agreements and regulatory filings, and support IPO-related audits.
• Develop crisis management plans, manage disputes and litigation, and represent the company in legal proceedings when necessary.

Required profile

• Bachelor's degree in Law or a related field; Master's degree or JD preferred.
• 10+ years of experience in legal and corporate affairs, ideally within a small-to-medium technology business.
• Experience managing corporate governance and overseeing complex corporate transactions.

Required skills

• In-depth knowledge of corporate law, commercial law and regulatory compliance across jurisdictions.
• Proficiency in contract negotiation and drafting.
• Familiarity with IPO processes and requirements.
• Strong understanding of intellectual property law and protection strategies.
• Leadership, communication and strategic thinking skills.
