Manager, Corporate Governance

About the role

The Manager, Corporate Governance will lead the continuous improvement of the bank's governance framework, ensuring compliance with regulatory standards and best practices. This senior position works closely with the Corporate Secretariat, Board committees, and GRC functions to embed a strong governance culture across the organization.

Key responsibilities

• Implement and enhance corporate governance policies, manuals, and procedures.
• Conduct governance gap assessments and recommend improvement initiatives.
• Support Board and Committee operations, including material preparation, self‑assessment, and onboarding of new members.
• Review and align internal committees with governance standards, updating charters and structures.
• Prepare annual governance evaluation reports for senior leadership.
• Coordinate with GRC to monitor regulatory developments and provide governance recommendations.
• Support internal and external audit engagements, delivering documentation and corrective action plans.
• Consolidate governance reports for the Board, Governance Committee, and General Assembly.

Required profile

• Bachelor's degree in Business Administration, Law, Corporate Governance or related field.
• Professional certification in Corporate Governance (mandatory); GRI Sustainability Reporting Certification (preferred).
• Minimum 10 years of experience in governance, compliance, or corporate secretariat within the banking sector.
• Strong exposure to Board and Committee governance practices and regulatory interactions.
• Excellent bilingual communication skills in Arabic and English.
• High integrity, professionalism, and strong stakeholder‑management abilities.
